Terms of Service

1. Acceptance

By creating an account, accessing the dashboard, or calling our APIs, you agree to these Terms of Service and our Privacy Policy. If you use MessageFlowSms on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

MessageFlowSms provides multi-tenant tools to send and manage SMS, voice, email, and WhatsApp communications; manage contacts and campaigns; purchase wallet credits; and access analytics and developer APIs. Features may evolve over time. Beta or preview features are provided as-is and may change or be withdrawn.

3. Accounts & Tenants

• You must provide accurate registration information and keep it updated.
• You are responsible for all activity under your tenant, including invited users and API keys.
• Protect credentials; notify us promptly of unauthorized access.
• One person or entity may not create multiple tenants to abuse trials or promotions.

4. Credits & Pricing

Fees are denominated in Ghana Cedis (GH₵). Messaging is billed on a pay-as-you-go basis from your wallet. Current list rates (subject to change with notice on the Pricing page) include SMS at GH₵0.05 per message, Voice at GH₵0.26 per minute, and Email at GH₵0.01 per email.

• Credits do not expire while your account remains in good standing.
• Promotional or trial credits (including the 7-day GH₵0.50 trial) may have additional limits.
• Bonus credits from top-ups are non-transferable and have no cash value.
• Except where required by law, purchased credits are non-refundable once applied to your wallet.
• Failed, undelivered, or filtered messages may still consume credits depending on carrier rules.

5. Acceptable Use

You must not use MessageFlowSms to:

• Send spam, unsolicited marketing, or messages without required recipient consent
• Phish, defraud, harass, threaten, or impersonate others
• Distribute malware, illegal content, or content that violates telecom or advertising laws
• Interfere with platform security, scrape systems, or attempt unauthorized access
• Misrepresent sender identity or evade carrier filtering and compliance controls

We may filter, throttle, or block traffic that appears abusive. You are responsible for complying with NCA rules, carrier policies, WhatsApp Business policies, and applicable consumer protection and data protection laws.

6. Your Content

You retain ownership of contacts, templates, and message content you submit. You grant us a limited license to host, process, transmit, and display that content solely to operate the Service. You represent that you have all rights and consents needed to use that content and to message recipients.

7. API & Developers

API access is subject to rate limits, authentication requirements, and documentation guidelines. You must keep API keys confidential, rotate compromised keys, and not use the API in a way that degrades service for other tenants.

8. Intellectual Property

The MessageFlowSms name, logos, software, documentation, and design are owned by us or our licensors. These Terms do not grant you any right to use our trademarks except as needed to identify your use of the Service.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care, except for information that is public, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted delivery by third-party carriers or channel providers, nor that AI suggestions will be error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESSAGEFLOWSMS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR CREDITS IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend and indemnify MessageFlowSms against claims, damages, and expenses arising from your content, messaging practices, violation of these Terms, or violation of law or third-party rights.

13. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, fail to pay, create risk for the platform or other users, or if required by law or carriers. Upon termination, your right to use the Service ends; provisions that by nature should survive will survive.

14. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Courts in Accra shall have exclusive jurisdiction, without prejudice to any mandatory consumer protections that apply.

15. Changes

We may update these Terms. Material changes will be posted with an updated date and, where appropriate, notified by email or in-app notice. Continued use after the effective date constitutes acceptance.
